1. Acceptance of Terms

By accessing or using AIVITTA ("Platform"), a brand of Asimex Tradelink Private Limited ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

2. Description of Service

AIVITTA is an AI-powered portfolio analytics and intelligence platform. We provide data visualization, AI-generated analysis, risk scoring, and market insights for informational purposes only.

AIVITTA is NOT a SEBI-registered investment advisor, research analyst, portfolio manager, or stockbroker. We do not provide investment advice, stock recommendations, buy/sell signals, or trading tips.

3. No Investment Advice Disclaimer

All content, analysis, scores, signals, and AI-generated outputs on the Platform are for informational and educational purposes only. They do not constitute:

• Investment advice or recommendations under SEBI regulations
• An offer or solicitation to buy or sell any securities
• A guarantee of future performance or returns
• Professional financial, tax, or legal advice

You acknowledge that all investment decisions are made solely by you, at your own risk. Past performance data shown on the Platform does not guarantee future results.

4. Eligibility

You must be at least 18 years old and a resident of India to use the Platform. By using AIVITTA, you represent that you have the legal capacity to enter into these Terms.

5. Account & Broker Connection

You may connect third-party brokerage accounts (e.g., Zerodha) via their official APIs. By doing so, you authorize AIVITTA to access your portfolio data in read-only mode.

• We never store your broker login credentials
• We use official OAuth/API token mechanisms provided by brokers
• You can revoke access at any time from your broker's settings
• We are not responsible for any actions taken on your brokerage account

6. Subscription & Payments

AIVITTA offers free and paid subscription plans. Paid plans are billed monthly via Razorpay.

• Prices are in Indian Rupees (INR) and inclusive of applicable taxes
• Subscriptions auto-renew unless cancelled before the billing date
• You may upgrade, downgrade, or cancel your plan at any time from your account settings
• We reserve the right to modify pricing with 30 days' prior notice

7. AI Credits & Usage

AI features consume credits based on the type and scope of analysis. Credits are allocated monthly per your plan and do not roll over. Unused credits expire at the end of each billing cycle.

8. Intellectual Property

All content, algorithms, AI models, design, code, and branding on the Platform are the exclusive property of AIVITTA. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without written consent.

9. Data Accuracy & Limitation

While we strive for accuracy, market data, AI analysis, and portfolio metrics may contain errors, delays, or inaccuracies. We source data from third-party providers and broker APIs, and we do not guarantee the completeness or real-time accuracy of any data displayed.

You should independently verify all information before making any financial decisions.

10. Limitation of Liability

To the maximum extent permitted by law, Asimex Tradelink Private Limited, its founders, employees, and affiliates shall not be liable for:

• Any financial losses arising from investment decisions made using the Platform
• Inaccuracies in AI-generated analysis or market data
• Service interruptions, downtime, or technical failures
• Unauthorized access to your account due to your negligence
• Any indirect, incidental, special, or consequential damages

Our total liability shall not exceed the amount you paid to AIVITTA in the 3 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Asimex Tradelink Private Limited, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

12. Prohibited Use

You agree not to:

• Use the Platform for any unlawful purpose
• Scrape, crawl, or extract data from the Platform programmatically without authorization
• Attempt to gain unauthorized access to our systems
• Redistribute or resell AI-generated content commercially
• Use the Platform to manipulate markets or engage in fraudulent activity

13. Termination

We may suspend or terminate your account at our discretion if you violate these Terms. Upon termination, your right to use the Platform ceases immediately. Sections on liability, indemnification, and intellectual property survive termination.

14. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

15. Changes to Terms

We may update these Terms at any time. Continued use of the Platform after changes constitutes acceptance. We will notify registered users of material changes via email.
